Flipstream Terms of Service

These Terms of Service ("Terms") govern your access to and use of Flipstream's AI-powered returns processing platform and services (collectively, the "Services"). These Terms constitute a legally binding agreement between you (the "Customer" or "you") and Flipstream AB, org. nr. 559485-1772, a company incorporated under the laws of Sweden ("Flipstream," "we," "us," or "our").
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
1. Services Description
1.1 Platform Overview
Flipstream provides an AI-powered platform that automates the processing of returned products for resale, including:
- Product identification through computer vision analysis
- Automated condition assessment
- Dynamic pricing based on real-time market research
- Multi-marketplace listing generation and publishing
- Integration with e-commerce platforms (eBay, Amazon, Shopify, PrestaShop, etc.)
1.2 Service Availability
We provide the Services on a subscription basis with usage-based pricing. We strive to maintain 99.5% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
1.3 Beta Features
We may offer beta or experimental features. These are provided "as is" without warranties and may be modified or discontinued at any time.
2. Account Registration and Access
2.1 Account Creation
To use the Services, you must:
- Be at least 18 years old and capable of forming a binding contract
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Be a business entity or acting on behalf of a business entity
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using reasonable security measures (strong passwords, multi-factor authentication)
2.3 Account Suspension
We may suspend or terminate your account if:
- You breach these Terms
- Your account is used for fraudulent or illegal activities
- You fail to pay fees when due
- We are required to do so by law or regulatory authorities
3. Fees and Payment
3.1 Fees
You agree to pay all fees associated with your use of the Services as set forth in your order form, quote, or as displayed on our website. Fees are based on your selected subscription plan and usage.
3.2 Payment Terms
- Invoices are issued monthly in arrears
- Payment is due within 30 days of invoice date
- Late payments may incur interest at 2% per month (24% annually)
- Prices are exclusive of VAT and applicable taxes
- You are responsible for all taxes except those based on Flipstream's income
3.3 Price Adjustments
We reserve the right to modify our fees at any time. We will provide you with at least 90 days' notice before any price increase takes effect for your existing subscription. Continued use of the Services after the effective date of a price increase constitutes your acceptance of the new fees.
3.4 Free Trials
We may offer free trial periods. Trial terms will be specified at signup. If you do not cancel before the trial period ends, you will be automatically charged for a subscription at our then-current rates.
4. Use of Services
4.1 Permitted Use
You may use the Services only for:
- Processing returned products for legitimate resale purposes
- Internal business operations
- Compliance with applicable laws and regulations
4.2 Prohibited Use
You may not:
- Use the Services for any illegal purpose or in violation of any laws
- Process products you do not have the legal right to resell
- Upload content that infringes intellectual property rights
- Attempt to reverse engineer, decompile, or extract source code
- Use automated means to access Services without authorization (scraping, bots)
- Overload or interfere with the operation of the Services
- Resell or sublicense the Services without written permission
- Use the Services to process prohibited items (weapons, drugs, counterfeit goods, etc.)
- Share account credentials with unauthorized users
4.3 Content Responsibility
You are solely responsible for:
- The accuracy and legality of content you upload
- Ensuring you have rights to resell products you process
- Compliance with marketplace policies where you publish listings
- Compliance with consumer protection and product safety laws
5. Intellectual Property Rights
5.1 Flipstream IP
Flipstream retains all rights, title, and interest in:
- The Services, including software, algorithms, and AI models
- Flipstream trademarks, logos, and branding
- Documentation, APIs, and interfaces
- Improvements and derivatives of the above
5.2 Customer Data Ownership
You retain ownership of:
- Product photos and descriptions you upload
- Your business data and customer information
- Listings generated from your product data
5.3 License Grant to Flipstream
You grant Flipstream a worldwide, non-exclusive, royalty-free license to:
- Use your product data to provide the Services
- Use your product data to train and improve our AI models (see Section 6)
- Store and process your data as necessary for service delivery
- Display your content as necessary for service functionality
5.4 License Grant to Customer
Flipstream grants you a limited, non-exclusive, non-transferable license to:
- Access and use the Services during your subscription term
- Use generated listings and descriptions for your business purposes
- Access APIs and integrations as documented
6. Data Usage and AI Training
6.1 Data Collection
We collect and process data you provide, including:
- Product photos, descriptions, and metadata
- Identification results, pricing decisions, and condition assessments
- Usage patterns and service interactions
- Account and billing information
6.2 AI Training
Important: We use customer data to train and improve our AI models. Specifically:
- Product photos you upload may be used to improve product recognition accuracy
- Pricing outcomes help refine our dynamic pricing algorithms
- Condition assessments improve our quality control systems
- Market research results enhance pricing accuracy for all customers
This training benefits all customers through continuous service improvement. Data may be retained indefinitely in trained AI models.
6.3 Anonymization
Where practical, we anonymize data used for training purposes to protect privacy while maintaining service quality.
6.4 Enterprise Opt-Out
Enterprise customers may negotiate opt-out terms from AI training in their service agreement. Contact sales@flipstream.xyz for details.
6.5 Privacy
Our collection and use of personal data is governed by our Privacy Policy (www.flipstream.xyz/privacy), which is incorporated into these Terms by reference.
7. Service Level and Support
7.1 Uptime Commitment
We target 99.5% monthly uptime, excluding:
- Scheduled maintenance (announced 48 hours in advance when possible)
- Force majeure events
- Issues caused by third-party services
- Customer's internet connectivity or equipment
7.2 Support
- Standard Support: Email support (support@flipstream.xyz) with next-business-day response
- Business Hours: Monday-Friday, 09:00-17:00 CET, excluding Swedish public holidays
- Enterprise Support: Custom SLAs available for large customers
7.3 No Warranty
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- Services will be uninterrupted or error-free
- AI identification will be 100% accurate
- Pricing recommendations will maximize revenue
- Generated listings will comply with all marketplace policies
8. Limitation of Liability
8.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPSTREAM'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO FLIPSTREAM IN THE 12 MONTHS PRECEDING THE CLAIM.
8.2 Excluded Damages
FLIPSTREAM SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- COST OF SUBSTITUTE SERVICES
- DAMAGES RESULTING FROM THIRD-PARTY MARKETPLACE POLICIES OR ACTIONS
8.3 Customer Responsibility
You acknowledge that:
- Final pricing and listing decisions are your responsibility
- Flipstream provides recommendations, not guarantees
- You must verify AI results before publishing listings
- You are responsible for compliance with marketplace policies and consumer laws
9. Indemnification
You agree to indemnify, defend, and hold harmless Flipstream, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of third parties
- Content you upload or listings you create
- Products you sell through our platform
- Your violation of applicable laws or regulations
10. Third-Party Services
10.1 Marketplace Integrations
We integrate with third-party marketplaces (eBay, Amazon, Shopify, etc.). You are responsible for:
- Complying with each marketplace's terms of service
- Maintaining valid accounts with marketplace providers
- Resolving disputes with marketplaces
- Understanding that marketplace policy changes may affect our Services
10.2 Third-Party Providers
We use third-party service providers (cloud hosting, AI APIs, payment processors). We are not responsible for their failures or breaches, though we select providers carefully and use appropriate contracts.
11. Term and Termination
11.1 Subscription Term
- Initial term: 12 months from activation
- Auto-renewal: Automatically renews for successive 12-month periods
- Notice required: 90 days' written notice to prevent renewal
11.2 Termination for Cause
Either party may terminate immediately if:
- The other party materially breaches these Terms and fails to cure within 30 days of written notice
- The other party becomes insolvent, enters bankruptcy, or ceases business operations
- Required by law or regulatory authorities
11.3 Effects of Termination
Upon termination:
- Your access to Services will be disabled
- You must pay all outstanding fees
- You may export your data within 30 days
- We may delete your data after 90 days (except as required by law or for training purposes)
- Sections 5-10 and 12-15 survive termination
11.4 No Refunds
Fees are non-refundable except where required by law. Termination does not entitle you to a refund of prepaid fees.
12. Confidentiality
12.1 Confidential Information
Each party agrees to protect the other's confidential information, including:
- Business plans, strategies, and financial information
- Technical information, algorithms, and trade secrets
- Customer lists and pricing information
12.2 Exclusions
Confidential information does not include information that:
- Is publicly available through no breach of these Terms
- Was rightfully known prior to disclosure
- Is independently developed without use of confidential information
- Is disclosed with written permission
13. Modifications to Terms
We may modify these Terms at any time:
- Notice: We will provide 30 days' notice of material changes via email or in-app notification
- Acceptance: Continued use after changes become effective constitutes acceptance
- Disagreement: If you disagree with changes, you may terminate your subscription before changes take effect
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Sweden, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes shall be resolved in the courts of Stockholm, Sweden. Both parties consent to the exclusive jurisdiction and venue of these courts.
14.3 Negotiation First
Before initiating legal action, parties agree to attempt good-faith negotiation for 30 days.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between the parties and supersede all prior agreements.
15.2 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.3 Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control (natural disasters, war, pandemics, internet outages, government actions, etc.).
15.4 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
15.5 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.7 Language
These Terms are drafted in English. Any translations are for convenience only. In case of conflict, the English version prevails.

17. Acceptance
By clicking "I Accept," creating an account, or using the Services, you acknowledge that:
- You have read and understood these Terms
- You agree to be bound by these Terms
- You have authority to bind your organization to these Terms (if applicable)
- You understand that we use customer data to train AI models
Effective Date: These Terms are effective as of the date you first access or use the Services.
